odorana Office Terms of Service
Note: This English translation is provided for convenience only. The official text is the Japanese version, which prevails in the event of any discrepancy.
- These Terms of Service (the “Terms”) set out the conditions of use common to all plans offered by odorana Office (Private Office, Booth, Virtual Office, and Drop-in). Detailed conditions of each plan are set out in a separate contract (except for the Drop-in plan), and matters concerning use of the facilities are set out in the separate House Rules.
- Article 1 (odorana Office)
- odorana Office (the “Facility”) is a membership-based flexible office comprising shared offices and coworking spaces.
- Article 2 (Membership Registration)
- 1. To use odorana Office, you must register as a member by entering the required information (“Member Information”) in the designated application form on the Facility's website.
- 2. The Facility screens all registrations. Registration will be refused where the applicant conducts or intends to conduct any business listed in Article 16, or where the Facility otherwise deems the applicant unsuitable. The Facility may request materials describing your business; registration may be refused if such materials are not provided.
- 3. Where multiple persons wish to use odorana Office, each user must register individually.
- 4. A corporation wishing to register multiple users may register as a corporate member, in which case the number of users and their names must be registered.
- 5. Registered members can access the Member Portal using their ID (registered email address) and password, where they can check contract status, billing, book meeting rooms and other spaces, and review usage history.
- 6. At locations supporting QR-code keys, each user can additionally log in to the User Portal with their own ID (email address) and password to unlock doors by QR code.
- Article 3 (Notices)
- 1. Notices from the Facility to members are given by email, by general posting on the Facility's website, or by any other method the Facility deems appropriate.
- 2. Where notice is given by email, it is deemed complete and delivered when sent to the email address registered in the Member Portal and received by the server hosting that address. Members shall read notices without delay; the Facility bears no responsibility for any loss arising from a member's failure to do so after notice is complete.
- Article 4 (Changes to Registered Information)
- 1. Members shall keep their registered information (name, address, telephone number, email address, etc.) current and valid at all times, and update it without delay through the designated procedure whenever it changes. The Facility treats the information on record as valid, and accepts no liability for any loss a member suffers through failure to update or through inaccurate registration (including non-delivery of notices or items). Members bear full responsibility for any loss suffered by the Facility or third parties arising from such failure or inaccuracy.
- 2. Where a member materially changes their business, the Facility may request materials describing the business after the change.
- Article 5 (Membership and Usage Fees)
- 1. Membership fees, option fees, workspace usage fees, meeting room fees, mail forwarding fees, copying/printing charges, and other usage fees are payable monthly by the method the Facility designates for each plan:
(1) Private Office & Booth plans: the fee for your dedicated space is paid monthly by automatic direct debit (by bank transfer until debit setup is complete). Coworking spaces at the Facility and partner locations are free of hourly charges between 9:00 and 21:00.
(2) Virtual Office plan: the address-use fee for your contracted location is paid as a monthly fee. Hourly usage of coworking spaces at the Facility and partner locations is charged to your credit card at each facility's rates.
(3) Drop-in plan: hourly usage of coworking spaces at the Facility and partner locations is charged to your credit card at each facility's rates. - 2. Payments are collected by odorana Inc.; statements and passbooks show the collecting company name (odorana Inc.).
- 3. Credit card charges occur on the 25th of each month, and direct debits on the 28th (next business day if a weekend or holiday), covering the following month's fees and the previous month's usage charges. (Example: the August billing includes usage from July 1–31 plus the September membership and option fees.)
- 4. If payment fails and is not confirmed by the deadline set in the reminder, an administrative fee of ¥300 (¥330 tax incl.) is charged per occurrence. Continued non-payment over a certain period may result in compulsory termination.
- 5. For late payment of fees or other amounts, the Facility may charge late-payment damages at an annual rate of 14.6%.
- Article 6 (Use of the Office)
- 1. Coworking spaces are available every day from 7:00 or 8:00 a.m. to 9:00 p.m., except over the New Year period and on maintenance days. Hours vary by location.
- 2. Private Office and Booth members may use their contracted dedicated space 24 hours a day, 365 days a year (except maintenance days).
- 3. On your first visit, please present identity documents (driver's licence, health insurance card, utility bill, etc.) and register an IC card you own (FeliCa-compatible: Suica, PASMO, ICOCA, WAON, Edy, etc.) as your membership card. Registration is not possible without a compatible IC card, so please bring one.
- 4. Usage procedures may vary by office; always follow the instructions of on-site staff. Details are governed by the separately established odorana Office House Rules.
- Article 7 (Use of Partner Offices)
- Coworking spaces at partner offices are also available. Some partner offices require advance booking or have different business days and procedures — see each partner's website for details.
- Article 8 (Use of the Address)
- Only members with a Private Office, Booth, or Virtual Office plan, or the address-use option, may use their contracted location's address on websites and business cards, for receiving mail, or as their registered corporate address.
- Article 9 (Meeting Rooms)
- Paid meeting rooms attached to the Facility and free meeting booths inside the coworking spaces (workspace usage fees apply separately) are available. Booking via the Member Portal is required. Fees are set separately, and conditions are governed by the separate Meeting Room Terms of Use.
- Article 10 (Optional Services)
- The Facility offers optional services including phone and fax number provision, phone answering, address use (mail forwarding), and corporate registration. Details and fees are set separately and published on the Facility's website.
- Article 11 (Cancellation)
- To cancel, submit a cancellation request via the Member Portal by the deadline for your plan:
1. Drop-in, Virtual Office, and options: by the last day of the month before your intended final month (e.g. to end in August, request by the end of July).
2. Private Office & Booth: by the last day of the month three months before your intended final month (e.g. to end in October, request by the end of July). - Article 12 (Temporary Suspension and Restriction of Service)
- The Facility and partner offices may temporarily suspend or restrict services without prior notice for the following reasons, and accept no liability for any trouble, loss, or damage arising:
1. Maintenance, inspection, or repair of equipment.
2. Fire, power outage, or other accidents preventing service.
3. Natural disasters, terrorism, or similar events preventing service.
4. Any other circumstances requiring suspension. - Article 13 (Changes to Facilities and Services)
- The Facility (including partner offices) may relocate offices, change interiors and layouts, equipment, or services, or discontinue services at its discretion. Where feasible, the Facility endeavours to give at least one month's notice of such changes or discontinuation.
- Article 14 (Use of Member Information)
- Information provided at registration, in transactions, applications, and event participation (including member, business partner, and inquiry information) is used for the purposes below. It is not provided to third parties without prior consent except as required by law, and personal information is managed under our separately published Privacy Policy:
1. Responding to inquiries and document requests
2. Information about facilities we operate
3. Information about our products and services
4. Information about seminars, events, campaigns, and member services
5. Email newsletters and mailing of publications
6. Market research and development of new products and services
7. Advertising related to our business
8. Emergency contact and response - Article 15 (No Assignment of Rights)
- Rights to use the Facility arising from membership registration may not be assigned or lent to third parties.
- Article 16 (Businesses Refused Registration and Use)
- Persons connected with the following may be refused use of the Facility. Whether a case falls under these categories is determined at the Facility's discretion on reasonable grounds:
1. Businesses that violate, or risk violating, laws and regulations
2. Businesses the Facility judges contrary to public order and morals
3. Businesses involving the sale of information products
4. Adult entertainment businesses
5. Organized crime groups and related businesses
6. Political organizations and religious organizations
7. Multi-level marketing and similar schemes
8. Any other person the Facility deems unsuitable - Article 17 (Restriction of Use and Compulsory Termination for Misconduct)
- The Facility may, at its discretion, refuse further use by any member who commits any of the following; fees already paid will not be refunded:
1. False information or documents at registration.
2. Conduct the Facility judges likely to harm the Facility, other members, or third parties.
3. Conduct damaging the reputation of the business.
4. Conduct destroying the relationship of trust.
5. Conduct that obstructs other users, or other nuisance conduct or the risk thereof.
6. Conduct contrary to public order and morals or to laws and regulations.
7. Conduct obstructing management and operations.
8. Conduct in breach of these Terms.
9. Non-payment of fees, or three or more late payments (failed charges).
10. Conducting or attempting to conduct any business listed in Article 16. - Article 18 (Compliance)
- 1. Users of the Facility must comply with these Terms. The Facility gives prior notice of any amendment, and users must comply with the amended Terms.
- 2. By completing the membership registration under Article 2, you are deemed to have agreed to and undertaken to comply with all of these Terms.
